Terms of service.
Purpose, Scope, and Output of Engagement
Sprinkler Media provides creative content production and media services as outlined in our invoices and proposals. We will collaborate professionally and respectfully to deliver the agreed work. Our scope does not include legal review, copyright clearance, or technical infrastructure unless stated otherwise. Any identified risks (e.g. unlicensed imagery or unclear content ownership) will be raised for your attention.
Unanticipated Services
Only the services outlined in our engagements and bills are included. Any new work outside the agreed scope will be quoted and confirmed via an updated proposal or bill. This includes significant revisions, unplanned shooting days, or scope changes during a project (ie music change).
Sprinkler Media's Commitment
We stand behind the quality of our creative services. If concerns arise, we ask that you raise them promptly. We will work with you to resolve issues and rebuild trust. If concerns remain unresolved, we will explore a fair outcome.
Client Responsibilities
You agree to: Provide timely and accurate content, feedback, and approvals.
Confirm legal ownership or licensing of all supplied materials.
Ensure written permissions for the use of images of minors.
We assume all information provided is complete and correct unless told otherwise. We are not responsible for delays caused by missing or late material.
Scope Variations & Revisions
Unless stated otherwise, each deliverable includes up to two rounds of changes after presentation of an initial concept. Additional revisions or significant scope changes will be billed separately.
Content Ownership & Media License
Copyright Ownership: Sprinkler.Media is the sole and exclusive owner of the copyright for all media created (including all video footage and photographs). In accordance with the Australian Copyright Act 1968, Sprinkler.Media retains all ownership rights to the intellectual property.
Client Licensing: Upon full payment of the final invoice, the commissioning client is granted a non-exclusive, non-transferable license to use the final, edited master files for the purpose for which they were commissioned. For real estate projects, this purpose is defined as marketing the specific property for sale or lease during the campaign.
Third-Party Usage: The client's license is non-transferable. The client may not distribute, sell, or provide the media to any third parties (such as architects, builders, stylists, or suppliers). All licensing inquiries from third parties must be directed to Sprinkler.Media. Unauthorised use will be subject to a licensing fee.
Deliverables & Raw Files: The deliverable for this project is the final, edited master file(s) (e.g., MP4, JPEG). Raw files, project files, and unedited footage are the exclusive property of Sprinkler.Media and are not provided to the client. These assets are only available through a full copyright buyout, which must be negotiated separately.
Portfolio & Promotional Use: Sprinkler.Media retains the right to use all media for our own promotional purposes, including on our website, social media, and in our portfolio, unless a separate non-disclosure agreement has been signed.
Payment & Delivery: Final master files will be delivered to the client after the final invoice has been paid in full. No usage of any media, including draft versions, is permitted before full payment has been received.
Third-Party Costs & Incidentals
Costs for external services (e.g. voiceover, music licensing, printing, couriers, travel, parking) are not included unless otherwise specified. These may be quoted and billed separately.
Late Payments & Collection
Automatic payments will be collected by Ignition on the specified date. Manual Invoices unpaid 14 days after the due date will likely incur a 10% late fee. Unpaid invoices past 30 days may be referred to a debt collection agency. All recovery costs will be billed to the client.
Confidentiality & Privacy
We treat all project material confidentially and securely. We only disclose project information with your consent, or as required by law. If you share personal data with us, you confirm it was collected lawfully and you authorise us to use it for project purposes.
Inclusive Communication
Sprinkler Media is a neurodivergent-led studio. We value respectful, calm communication and expect all collaboration to uphold this. We reserve the right to pause or terminate a project if communication becomes unproductive or disrespectful.
Indemnity
You agree to indemnify and hold Sprinkler Media harmless from claims, damages or losses arising from the use of content you provided or approved.
Limitation of Liability
Our liability is limited to the total project value. We are not liable for indirect loss, reputational harm, or commercial impacts.
Force Majeure
We are not liable for delays caused by events beyond our control, including natural disasters, illness, equipment failure or legal restrictions.
Termination
You or Sprinkler Media may terminate this engagement at any time by written notice. You will be invoiced for all work completed to date and any reasonable costs associated with termination.
